DIN stands for Director Identification Number. It's a unique identification number assigned to an individual who intends to be appointed as a director of a company. It is a mandatory requirement for anyone looking to become a director in an Indian company. It serves as a means of tracking and regulating the activities of directors under the Companies Act, 2013. DIN no is issued by the Ministry of Corporate Affairs (MCA) in India. Each director, whether of a public or private company, must have a distinct DIN. This number remains valid for the lifetime of the director and is not affected by changes in directorship or companies.

As per a amendment to the MCA's regulations, it is now mandatory for all directors holding a DIN need to annually submit their Director KYC details through e-Form DIR-3 KYC on or before 31 September.

Director KYC, commonly known as DIR-3 KYC, is a vital compliance measure introduced by the MCA. It is mandatory that all directors holding a DIN should file their KYC details annually. This process aims to maintain accurate and up-to-date records of directors associated with Indian companies.

Who Needs to File DIR-3 KYC?

The e-Form DIR-3 KYC must be filed by all individuals who have been allotted a Director Identification Number (DIN) under the provisions of the Companies Act, 2013. This includes both existing directors and newly appointed directors of Indian companies, whether public or private. Failure to filing DIR-3 KYC may lead to penalties and disqualification as a director.

Form DIR 3 KYC

Any individual holding a DIN and filing their KYC details for the first time with the MCA must exclusively utilize eForm DIR-3 KYC. Additionally, any DIN holder seeking to update any information within their KYC details must do so solely through the submission of eForm DIR-3 KYC.

Form DIR-3 KYC Web

A DIN holder who has previously submitted eForm DIR-3 KYC in prior financial years and does not need to update any of their KYC details may complete their annual KYC by utilizing the DIR-3 KYC web service. The DIR-3 KYC Web form validates the information provided by the DIN holder in their previous year's eForm DIR-3 KYC.

Due Date for Filing DIR 3 KYC

Due date of filing both forms is usually on 30th September of every year, it may differ only when official notifications issued by the MCA through their website or other official channels.

Application Fee for Filing DIR 3 KYC

There is no fee is payable to file DIR 3 Kyc form, if the Directors is filed the form within the due date of the respective financial year. If filed after the due date, a fee of Rs. 5000 becomes payable as a penalty and the DIN status shows 'Deactivated due to non-filing of DIR-3 Kyc'.

Procedure to File Form DIR 3 KYC

  • Access the MCA Portal: Visit the Ministry of Corporate Affairs (MCA) portal at www.mca.gov.in.
  • Login: Log in to the MCA portal using your credentials. If you don't have an account, you'll need to register as a user.
  • Navigate to DIR-3 KYC: Once logged in, navigate to the 'MCA Services' tab.
  • Select Form DIR-3 KYC: Under the 'MCA Services' tab, navigate to 'Company e-Filing' and navigate to DIN Related Filings' select the option for filing Form DIR-3 KYC.
  • Fill in Details: Fill in the required details accurately. This includes personal information such as name, address, contact details, PAN, Aadhaar, passport details (if applicable), and other relevant information.
  • Upload Documents: Upload the necessary documents as per the guidelines provided on the portal. This may include self-attested copies of PAN, Aadhaar, passport, and other relevant documents.
  • Digital Signature: Sign the form digitally using your Digital Signature Certificate (DSC) of the DIN holder and Practising Professional.
  • Review and Submit: Review all the information provided and ensure its accuracy. Once satisfied, submit the form electronically on the MCA portal.
  • Payment of Fee: Pay the required fee for filing Form DIR-3 Kyc. The fee can typically be paid online through the MCA portal.
  • Confirmation: Upon successful submission, you will receive a confirmation email and SMS acknowledging receipt of your Kyc form.
  • Keep Records: Keep a record of the acknowledgment received after successful submission of Form DIR-3 Kyc for future reference.
